podaje do powszechnej wiadomości:

W dniu 17 grudnia 1997 r. została sporządzona w Paryżu Konwencja o zwalczaniu przekupstwa zagranicznych funkcjonariuszy publicznych w międzynarodowych transakcjach handlowych w następującym brzmieniu;

Preambuła

Strony,

uznając, że przekupstwo jest szeroko rozpowszechnionym zjawiskiem w międzynarodowych transakcjach handlowych, włączając handel i inwestycje, powodującym poważne zaniepokojenie moralne i polityczne, podważającym dobre sprawowanie rządów oraz rozwój gospodarczy i wypaczającym warunki międzynarodowej konkurencji;

uznając, że wszystkie kraje dzielą odpowiedzialność za zwalczanie przekupstwa w międzynarodowych transakcjach handlowych;

mając na uwadze Zrewidowaną Rekomendację w sprawie zwalczania przekupstwa w międzynarodowych transakcjach handlowych – (OECD) w dniu 23 maja 1997 r., C (97) 1213/FINAL, która między innymi nawoływała do podjęcia skutecznych środków w celu powstrzymania, zapobiegania oraz zwalczania przekupstwa zagranicznych funkcjonariuszy publicznych w związku z międzynarodowymi transakcjami handlowymi, a w szczególności niezwłocznej penalizacji takiego przekupstwa w skuteczny i skoordynowany sposób oraz w zgodzie z uzgodnionymi wspólnymi elementami wymienionymi w tej Rekomendacji oraz zasadami jurysdykcji i innymi podstawowymi zasadami prawnymi każdego z krajów;

przyjmując z zadowoleniem inne najnowsze inicjatywy służące międzynarodowemu zrozumieniu i współpracy w zwalczaniu przekupstwa funkcjonariuszy publicznych, w tym działania Narodów Zjednoczonych, Banku Światowego, Międzynarodowego Funduszu Walutowego, Międzynarodowej Organizacji Handlu, Organizacji Państw Amerykańskich, Rady Europy oraz Unii Europejskiej;

przyjmując z zadowoleniem wysiłki przedsiębiorstw, organizacji przedsiębiorców, związków zawodowych i innych organizacji pozarządowych mające na celu zwalczanie przekupstwa;

uznając rolę rządów w zapobieganiu wymuszaniu łapówek od osób i przedsiębiorstw uczestniczących w międzynarodowych transakcjach handlowych;

uznając, że osiągnięcie postępu w tej sferze wymaga nie tylko wysiłków na szczeblu krajowym, lecz również współpracy wielostronnej, monitorowania oraz kontynuacji podjętych działań;

uznając, że zapewnienie ekwiwalencji środków, które mają być podjęte przez Strony, jest podstawowym przedmiotem i celem niniejszej konwencji, i które wymagają ratyfikacji konwencji, bez odstępstw mających wpływ na taką ekwiwalencję;

uzgodniły, co następuje:

Artykuł 1

Przestępstwo przekupstwa zagranicznych funkcjonariuszy publicznych

1. Każda ze Stron podejmie niezbędne działania mające na celu uznanie w swym prawie wewnętrznym za przestępstwo kryminalne umyślnego proponowania, obiecywania lub dawania przez jakąkolwiek osobę jakiejkolwiek nienależnej korzyści majątkowej lub innej korzyści zagranicznemu funkcjonariuszowi publicznemu, zarówno bezpośrednio, jak i poprzez pośredników, dla takiego funkcjonariusza lub dla osoby trzeciej, w celu skłonienia tego funkcjonariusza do działania lub powstrzymania się od działania w związku z wykonywaniem obowiązków służbowych, w celu otrzymania lub utrzymania możliwości prowadzenia działalności gospodarczej lub zapewnienia sobie innej nienależnej korzyści w prowadzeniu międzynarodowej działalności gospodarczej.

2. Każda ze Stron podejmie niezbędne działania w celu uznania za przestępstwo kryminalne współudziału w przekupstwie zagranicznego funkcjonariusza publicznego, włącznie z podżeganiem, pomocnictwem, poplecznictwem i sprawstwem kierowniczym. Usiłowanie i zmowa w celu przekupienia zagranicznego funkcjonariusza publicznego będą stanowiły przestępstwa kryminalne w takim samym zakresie, jak usiłowanie przekupstwa i zmowa w celu przekupstwa funkcjonariusza publicznego danej Strony.

3. Przestępstwa wymienione w ustępach 1 i 2 niniejszego artykułu nazywane są poniżej „przekupstwem zagranicznego funkcjonariusza publicznego".

4. W rozumieniu niniejszej konwencji:

a. „zagraniczny funkcjonariusz publiczny" oznacza każdą osobę zajmującą stanowisko ustawodawcze, administracyjne lub sądowe w obcym państwie, zarówno mianowaną, jak i wybraną, jak również każdą osobę wykonującą funkcje publiczne na rzecz państwa obcego, włączając funkcjonariusza agendy publicznej lub przedsiębiorstwa publicznego, i każdego funkcjonariusza lub przedstawiciela publicznej organizacji międzynarodowej;

b. „obce państwo" obejmuje wszystkie szczeble i jednostki władzy, od ogólnokrajowych do lokalnych;

c. „działanie lub zaniechanie działania w związku z wykonywaniem obowiązków służbowych" obejmuje wszelkie wykorzystanie stanowiska funkcjonariusza publicznego, niezależnie od tego, czy pozostaje w zakresie kompetencji udzielonych temu funkcjonariuszowi.

Artykuł 2

Odpowiedzialność osób prawnych

Każda ze Stron podejmie w zgodzie ze swymi zasadami prawa niezbędne działania, by ustanowić odpowiedzialność osób prawnych za przekupstwo zagranicznego funkcjonariusza publicznego.

Artykuł 3

Kary

1. Przekupstwo zagranicznego funkcjonariusza publicznego będzie podlegać skutecznym, proporcjonalnym i odstręczającym karom. Zakres stosowanych kar będzie porównywalny do tych, jakie są stosowane do przekupstwa własnych funkcjonariuszy publicznych Strony i w wypadku osób fizycznych obejmie pozbawienie wolności w wymiarze umożliwiającym skuteczną wzajemną pomoc prawną oraz ekstradycję.

2. W przypadku gdy w systemie prawnym Strony osoby prawne nie podlegają odpowiedzialności karnej, Strona ta zapewni, że osoby prawne podlegać będą za przekupstwo zagranicznego funkcjonariusza publicznego skutecznym, proporcjonalnym oraz odstręczającym sankcjom innym niż karne, włącznie z sankcjami pieniężnymi.

3. Każda ze Stron podejmie niezbędne działania w celu zagwarantowania, że łapówka i korzyści uzyskane wskutek przekupstwa zagranicznego funkcjonariusza publicznego lub mienie, którego wartość odpowiada takim korzyściom, podlegać będą zajęciu i konfiskacie albo że stosowane będą kary pieniężne o porównywalnym skutku.

4. Każda ze Stron rozważy nałożenie dodatkowych sankcji cywilnych lub administracyjnych na osobę podlegającą karze za przekupstwo zagranicznego funkcjonariusza publicznego.

Artykuł 4

Jurysdykcja

1. Każda ze Stron podejmie niezbędne działania dla ustanowienia własnej jurysdykcji nad przestępstwem przekupstwa zagranicznego funkcjonariusza publicznego, jeżeli przestępstwo zostało popełnione w całości lub w części na jej terytorium.

2. Każda ze Stron, która posiada jurysdykcję do oskarżania własnych obywateli za przestępstwa popełnione za granicą, podejmie niezbędne działania w celu ustanowienia swojej jurysdykcji na tych samych zasadach w wypadku przekupstwa zagranicznego funkcjonariusza publicznego.

3. Jeżeli więcej niż jedna Strona ma jurysdykcję nad danym przestępstwem, przewidzianym w niniejszej konwencji, wszystkie zainteresowane Strony na wniosek jednej z nich podejmą wzajemne konsultacje w celu określenia najbardziej właściwej jurysdykcji w celu oskarżenia.

4. Każda ze Stron dokona przeglądu aktualnych podstaw swojej jurysdykcji pod kątem skuteczności w zwalczaniu przekupstwa zagranicznych funkcjonariuszy publicznych, a w przypadku stwierdzenia braku skuteczności – podejmie działania zaradcze.

Artykuł 5

Ściganie

Ściganie karne przekupstwa zagranicznego funkcjonariusza publicznego podlega wewnętrznym przepisom i zasadom ścigania obowiązującym w każdej ze Stron. Na prowadzenie dochodzenia i ściganie przekupstwa zagranicznych funkcjonariuszy publicznych nie mogą mieć wpływu względy na narodowe interesy gospodarcze, potencjalny wpływ na stosunki z innym państwem oraz tożsamość osób fizycznych i prawnych, których sprawa dotyczy.

Artykuł 6

Przedawnienie

Wszelkie przepisy o przedawnieniu obowiązujące w stosunku do przekupstwa zagranicznego funkcjonariusza publicznego powinny zapewnić niezbędny czas dla przeprowadzenia dochodzenia i ścigania takiego przestępstwa.

Artykuł 7

Pranie brudnych pieniędzy

Każda ze Stron, która uznała przekupstwo własnego funkcjonariusza publicznego za przestępstwo źródłowe dla celów legislacji dotyczącej zwalczania przestępstwa prania brudnych pieniędzy, uczyni to samo w odniesieniu do przekupstwa zagranicznego urzędnika państwowego, niezależnie od miejsca, w którym przekupstwo miało miejsce.

Artykuł 8

Rachunkowość

1. W celu efektywnego zwalczania przekupstwa zagranicznych funkcjonariuszy publicznych każda ze Stron podejmie niezbędne działania w ramach swego prawa i przepisów odnoszących się do prowadzenia ksiąg rachunkowych i rejestrów, ujawniania sprawozdań finansowych, standardów księgowości i badania ksiąg w celu zakazania otwierania kont nieujawnionych w księgach, przeprowadzania transakcji nieujawnionych lub nieprawidłowo ujawnionych w księgach, rejestrowania nieistniejących wydatków, wprowadzania do ksiąg zobowiązań z nieprawdziwym określeniem ich przedmiotu, jak również użycia fałszywych dokumentów przez przedsiębiorstwa podlegające tym prawom i przepisom, w celu przekupienia zagranicznego funkcjonariusza publicznego lub ukrycia takiego przekupstwa.

2. Każda ze Stron zapewni skuteczne, proporcjonalne oraz odstręczające sankcje o charakterze cywilnym, administracyjnym lub karnym za takie zaniechania lub fałszerstwa dotyczące ksiąg, dokumentacji, rozliczeń oraz sprawozdań finansowych tych firm.

Artykuł 9

Wzajemna pomoc prawna i współpraca

1. Każda ze Stron, w największym możliwym zakresie w ramach swego prawa oraz stosownych traktatów i porozumień międzynarodowych, zapewni szybką i skuteczną pomoc prawną innej Stronie w celu prowadzenia przez tę Stronę postępowań karnych dotyczących przestępstw leżących w zakresie tej konwencji oraz postępowań innych niż karne prowadzonych przez Stronę przeciwko osobie prawnej w zakresie regulowanym niniejszą konwencją. Strona wezwana poinformuje Stronę wzywającą bez zwłoki o potrzebnych dla poparcia wniosku o udzielenie pomocy dodatkowych informacjach lub dokumentach oraz – jeżeli o to wnoszono – o stanie i wyniku wykonywania wniosku o udzielenie pomocy.

2. Jeżeli Strona uzależnia wzajemną pomoc od istnienia podwójnej karalności, podwójna karalność zostanie uznana za istniejącą, jeżeli przestępstwo, w sprawie którego pomoc jest żądana, znajduje się w zakresie regulacji niniejszej konwencji.

3. Strona nie uchyli się od udzielenia innej Stronie pomocy prawnej w sprawach karnych objętych regulacją niniejszej konwencji z uwagi na tajemnicę bankową.

Artykuł 10

Ekstradycja

1. Przekupstwo zagranicznego funkcjonariusza publicznego będzie uznane za podlegające ekstradycji na mocy prawa Stron oraz umów ekstradycyjnych pomiędzy nimi.

2. Jeżeli Strona, która uzależnia ekstradycję od istnienia umowy ekstradycyjnej, otrzyma wniosek od innej Strony, z którą nie ma zawartej takiej umowy ekstradycyjnej, Strona ta może uznać niniejszą konwencję za prawną podstawę ekstradycji w odniesieniu do przestępstwa przekupstwa zagranicznego urzędnika państwowego.

3. Każda ze Stron podejmie wszystkie niezbędne środki dla zapewnienia, że może wydawać swych własnych obywateli lub że może oskarżać swych własnych obywateli o przestępstwo przekupstwa zagranicznego funkcjonariusza publicznego. Strona, która odrzuca wniosek o wydanie osoby za przekupstwo zagranicznego funkcjonariusza publicznego jedynie na tej podstawie, że osoba ta jest jej obywatelem, przedstawi sprawę swym odpowiednim organom władzy w celu ścigania i oskarżenia.

4. Ekstradycja za przekupstwo zagranicznego funkcjonariusza publicznego podlega warunkom ustalonym w prawie wewnętrznym i stosownych umowach oraz porozumieniach międzynarodowych każdej ze Stron. Jeśli Strona uzależnia ekstradycję od istnienia podwójnej karalności, warunek ten zostanie uznany za spełniony, jeżeli przestępstwo, w związku z popełnieniem którego ekstradycja jest żądana, leży w zakresie artykułu 1 niniejszej konwencji.

Artykuł 11

Organy odpowiedzialne

Dla celów artykułu 4 ustępu 3 dotyczącego konsultacji, artykułu 9 dotyczącego wzajemnej pomocy prawnej oraz artykułu 10 dotyczącego ekstradycji każda ze Stron notyfikuje Sekretarzowi Generalnemu OECD organ lub organy odpowiedzialne za sporządzanie i otrzymywanie wniosków, które to organy będą służyć do komunikowania się w tych sprawach dla tej Strony, nie uchybiając innym uzgodnieniom między Stronami.

Artykuł 12

Monitorowanie i działania uzupełniające

Strony będą współpracować w prowadzeniu programu systematycznych działań uzupełniających w celu monitorowania oraz promowania pełnej implementacji niniejszej konwencji. O ile nie zostanie inaczej postanowione na podstawie jednomyślnej zgody Stron, realizowane to będzie w ramach Grupy Roboczej OECD do spraw Przekupstwa w Międzynarodowych Transakcjach Handlowych oraz zgodnie z jej mandatem lub też w ramach i w zakresie mandatu każdego sukcesora jej zadań, przy czym Strony ponoszą koszty programu zgodnie z zasadami mającymi zastosowanie w odniesieniu do tego organu.

Artykuł 13

Podpisanie i przystąpienie

1. Niniejsza konwencja, do czasu jej wejścia w życie, pozostaje otwarta do podpisu przez państwa członkowskie OECD oraz przez państwa nieczłonkowskie, które są pełnymi uczestnikami jej Grupy Roboczej do spraw Przekupstwa w Międzynarodowych Transakcjach Handlowych lub zostały zaproszone do pełnego uczestnictwa w jej pracach.

2. Po wejściu w życie konwencja będzie otwarta do przystąpienia dla każdego państwa, które jej nie podpisało, a które jest członkiem lub stało się pełnym uczestnikiem Grupy Roboczej do spraw Przekupstwa w Międzynarodowych Transakcjach Handlowych lub jakiegokolwiek organu, będącego sukcesorem jej funkcji.

Artykuł 14

Ratyfikacja oraz depozytariusz

1. Niniejsza konwencja podlega przyjęciu, zatwierdzeniu oraz ratyfikacji przez sygnatariuszy, zgodnie z ich odpowiednimi prawami.

2. Dokumenty przyjęcia, zatwierdzenia lub ratyfikacyjne składane będą Sekretarzowi Generalnemu OECD, który będzie pełnił rolę depozytariusza niniejszej konwencji.

Artykuł 15

Wejście w życie

1. Niniejsza konwencja wejdzie w życie sześćdziesiątego dnia następującego po dacie, w której pięć spośród dziesięciu państw mających największy udział w eksporcie, wymienionych w załączonym aneksie, i które jednocześnie" reprezentują nie mniej niż sześćdziesiąt procent łącznego eksportu tych dziesięciu krajów, złoży swoje dokumenty przyjęcia, zatwierdzenia lub ratyfikacji. Wobec każdego państwa składającego dokumenty po takim wejściu w życie konwencja wejdzie w życie sześćdziesiątego dnia po złożeniu przez nie dokumentu.

2. Jeśli do dnia 31 grudnia 1998 r. konwencja nie wejdzie w życie na podstawie ustępu pierwszego, każde z państw, które złożyło swój dokument ratyfikacji, przyjęcia lub zatwierdzenia, może oświadczyć depozytariuszowi swą gotowość do zaakceptowania wejścia w życie konwencji na warunkach ustalonych w niniejszym ustępie. Konwencja wchodzi w życie wobec takiego państwa sześćdziesiątego dnia następującego po dacie, w której takie oświadczenia złożyły dwa lub więcej państw. Wobec każdego sygnatariusza składającego swe oświadczenie po takim wejściu w życie konwencji, wchodzi ona w życie sześćdziesiątego dnia następującego po dacie złożenia deklaracji.

Artykuł 16

Poprawki

Każda ze Stron może zaproponować wniesienie poprawek do niniejszej konwencji. Proponowana poprawka przedkładana jest depozytariuszowi, który powiadamia o niej inne Strony co najmniej na sześćdziesiąt dni przed zwołaniem spotkania Stron w celu jej rozważenia. Poprawka przyjęta jednomyślnie przez Strony lub w inny sposób ustalony jednomyślnie przez Strony wchodzi w życie po upływie sześćdziesięciu dni od złożenia dokumentów ratyfikacyjnych, przyjęcia lub zatwierdzenia przez wszystkie Strony albo na innych zasadach, które mogą zostać określone przez Strony w czasie przyjmowania poprawki.

Artykuł 17

Wystąpienie

Strona może wystąpić z niniejszej konwencji, przedkładając depozytariuszowi pisemne oświadczenie. Takie wystąpienie nabiera mocy po upływie jednego roku od otrzymania oświadczenia. Po wystąpieniu współpraca pomiędzy Stronami oraz Stroną, która wystąpiła z konwencji, będzie kontynuowana w zakresie wszystkich niezałatwionych wniosków o udzielenie pomocy prawnej albo o ekstradycję, złożonych przed datą, w której wystąpienie stało się skuteczne.

Sporządzono w Paryżu dnia siedemnastego grudnia tysiąc dziewięćset dziewięćdziesiątego siódmego roku, w językach francuskim i angielskim, przy czym obydwa teksty są jednakowo autentyczne.

Dotyczy Belgii – Luksemburga. Statystyki handlowe dotyczące Belgii i Luksemburga są dostępne jedynie w postaci obejmującej łącznie obydwa kraje. W rozumieniu artykułu 15 ustęp 1 konwencji, jeśli jedno z tych państw złoży dokument przyjęcia, zatwierdzenia lub ratyfikacji lub jeśli zarówno Belgia, jak i Luksemburg złożą swe dokumenty przyjęcia, zatwierdzenia lub ratyfikacji, zostanie to uznane za złożenie dokumentu przez jeden z krajów należących do dziesięciu mających największy udział w eksporcie i łączna wielkość eksportu obydwu krajów będzie przyjęta w celu stwierdzenia osiągnięcia 60% łącznego całkowitego eksportu tych dziesięciu krajów, co jest wymagane dla wejścia w życie konwencji na podstawie tego przepisu.

CONVENTION

on combating bribery of foreign public officials in international business transactions

Preamble

The Parties,

Considering that bribery is a widespread phenomenon in international business transactions, including trade and investment, which raises serious moral and political concerns, undermines good governance and economic development, and distorts international competitive conditions;

Considering that all countries share a responsibility to combat bribery in international business transactions;

Having regard to the Revised Recommendation on Combating Bribery in International Business Transactions, adopted by the Council of the Organisation for Economic Co-operation and Development (OECD) on 23 May 1997, C(97)123/FINAL, which, inter alia, called for effective measures to deter, prevent and combat the bribery of foreign public officials in connection with international business transactions, in particular the prompt criminalisation of such bribery in an effective and co-ordinated manner and in conformity with the agreed common elements set out in that Recommendation and with the jurisdictional and other basic legal principles of each country;

Welcoming other recent developments which further advance international understanding and co-operation in combating bribery of public officials, including actions of the United Nations, the World Bank, the International Monetary Fund, the World Trade Organisation, the Organisation of American States, the Council of Europe and the European Union;

Welcoming the efforts of companies, business organisations and trade unions as well as other non-governmental organisations to combat bribery;

Recognising the role of governments in the prevention of solicitation of bribes from individuals and enterprises in international business transactions;

Recognising that achieving progress in this field requires not only efforts on a national level but also multilateral co-operation, monitoring and follow-up;

Recognising that achieving equivalence among the measures to be taken by the Parties is an essential object and purpose of the Convention, which requires that the Convention be ratified without derogations affecting this equivalence;

Have agreed as follows:

Article 1

The Offence of Bribery of Foreign Public Officials

1. Each Party shall take such measures as may be necessary to establish that it is a criminal offence under its law for any person intentionally to offer, promise or give any undue pecuniary or other advantage, whether directly or through intermediaries, to a foreign public official, for that official or for a third party, in order that the official act or refrain from acting in relation to the performance of official duties, in order to obtain or retain business or other improper advantage in the conduct of international business.

2. Each Party shall take any measures necessary to establish that complicity in, including incitement, aiding and abetting, or authorisation of an act of bribery of a foreign public official shall be a criminal offence. Attempt and conspiracy to bribe a foreign public official shall be criminal offences to the same extent as attempt and conspiracy to bribe a public official of that Party.

3. The offences set out in paragraphs 1 and 2 above are hereinafter referred to as "bribery of a foreign public official".

4. For the purpose of this Convention:

a. "foreign public official" means any person holding a legislative, administrative or judicial office of a foreign country, whether appointed or elected; any person exercising a public function for a foreign country, including for a public agency or public enterprise; and any official or agent of a public international organisation;

b. "foreign country" includes all levels and subdivisions of government, from national to local;

c. "act or refrain from acting in relation to the performance of official duties" includes any use of the public official's position, whether or not within the official's authorised competence.

Article 2

Responsibility of Legal Persons

Each Party shall take such measures as may be necessary, in accordance with its legal principles, to establish the liability of legal persons for the bribery of a foreign public official.

Article 3

Sanctions

1. The bribery of a foreign public official shall be punishable by effective, proportionate and dissuasive criminal penalties. The range of penalties shall be comparable to that applicable to the bribery of the Party's own public officials and shall, in the case of natural persons, include deprivation of liberty sufficient to enable effective mutual legal assistance and extradition.

2. In the event that, under the legal system of a Party, criminal responsibility is not applicable to legal persons, that Party shall ensure that legal persons shall be subject to effective, proportionate and dissuasive non-criminal sanctions, including monetary sanctions, for bribery of foreign public officials.

3. Each Party shall take such measures as may be necessary to provide that the bribe and the proceeds of the bribery of a foreign public official, or property the value of which corresponds to that of such proceeds, are subject to seizure and confiscation or that monetary sanctions of comparable effect are applicable.

4. Each Party shall consider the imposition of additional civil or administrative sanctions upon a person subject to sanctions for the bribery of a foreign public official.

Article 4

Jurisdiction

1. Each Party shall take such measures as may be necessary to establish its jurisdiction over the bribery of a foreign public official when the offence is committed in whole or in part in its territory.

2. Each Party which has jurisdiction to prosecute its nationals for offences committed abroad shall take such measures as may be necessary to establish its jurisdiction to do so in respect of the bribery of a foreign public official, according to the same principles.

3. When more than one Party has jurisdiction over an alleged offence described in this Convention, the Parties involved shall, at the request of one of them, consult with a view to determining the most appropriate jurisdiction for prosecution.

4. Each Party shall review whether its current basis for jurisdiction is effective in the fight against the bribery of foreign public officials and, if it is not, shall take remedial steps.

Article 5

Enforcement

Investigation and prosecution of the bribery of a foreign public official shall be subject to the applicable rules and principles of each Party. They shall not be influenced by considerations of national economic interest, the potential effect upon relations with another State or the identity of the natural or legal persons involved.

Article 6

Statute of Limitations

Any statute of limitations applicable to the offence of bribery of a foreign public official shall allow an adequate period of time for the investigation and prosecution of this offence.

Article 7

Money Laundering

Each Party which has made bribery of its own public official a predicate offence for the purpose of the application of its money laundering legislation shall do so on the same terms for the bribery of a foreign public official, without regard to the place where the bribery occurred.

Article 8

Accounting

1. In order to combat bribery of foreign public officials effectively, each Party shall take such measures as may be necessary, within the framework of its laws and regulations regarding the maintenance of books and records, financial statement disclosures, and accounting and auditing standards, to prohibit the establishment of off-the-books accounts, the making of off-the-books or inadequately identified transactions, the recording of non-existent expenditures, the entry of liabilities with incorrect identification of their object, as well as the use of false documents, by companies subject to those laws and regulations, for the purpose of bribing foreign public officials or of hiding such bribery.

2. Each Party shall provide effective, proportionate and dissuasive civil, administrative or criminal penalties for such omissions and falsifications in respect of the books, records, accounts and financial statements of such companies.

Article 9

Mutual Legal Assistance

1. Each Party shall, to the fullest extent possible under its laws and relevant treaties and arrangements, provide prompt and effective legal assistance to another Party for the purpose of criminal investigations and proceedings brought by a Party concerning offences within the scope of this Convention and for non-criminal proceedings within the scope of this Convention brought by a Party against a legal person. The requested Party shall inform the requesting Party, without delay, of any additional information or documents needed to support the request for assistance and, where requested, of the status and outcome of the request for assistance.

2. Where a Party makes mutual legal assistance conditional upon the existence of dual criminality, dual criminality shall be deemed to exist if the offence for which the assistance is sought is within the scope of this Convention.

3. A Party shall not decline to render mutual legal assistance for criminal matters within the scope of this Convention on the ground of bank secrecy.

Article 10

Extradition

1. Bribery of a foreign public official shall be deemed to be included as an extraditable offence under the laws of the Parties and the extradition treaties between them.

2. If a Party which makes extradition conditional on the existence of an extradition treaty receives a request for extradition from another Party with which it has no extradition treaty, it may consider this Convention to be the legal basis for extradition in respect of the offence of bribery of a foreign public official.

3. Each Party shall take any measures necessary to assure either that it can extradite its nationals or that it can prosecute its nationals for the offence of bribery of a foreign public official. A Party which declines a request to extradite a person for bribery of a foreign public official solely on the ground that the person is its national shall submit the case to its competent authorities for the purpose of prosecution.

4. Extradition for bribery of a foreign public official is subject to the conditions set out in the domestic law and applicable treaties and arrangements of each Party. Where a Party makes extradition conditional upon the existence of dual criminality, that condition shall be deemed to be fulfilled if the offence for which extradition is sought is within the scope of Article 1 of this Convention.

Article 11

Responsible Authorities

For the purposes of Article 4, paragraph 3, on consultation, Article 9, on mutual legal assistance and Article 10, on extradition, each Party shall notify to the Secretary-General of the OECD an authority or authorities responsible for making and receiving requests, which shall serve as channel of communication for these matters for that Party, without prejudice to other arrangements between Parties.

Article 12

Monitoring and Follow-up

The Parties shall co-operate in carrying out a programme of systematic follow-up to monitor and promote the full implementation of this Convention. Unless otherwise decided by consensus of the Parties, this shall be done in the framework of the OECD Working Group on Bribery in International Business Transactions and according to its terms of reference, or within the framework and terms of reference of any successor to its functions, and Parties shall bear the costs of the programme in accordance with the rules applicable to that body.

Article 13

Signature and Accession

1. Until its entry into force, this Convention shall be open for signature by OECD members and by non-members which have been invited to become full participants in its Working Group on Bribery in International Business Transactions.

2. Subsequent to its entry into force, this Convention shall be open to accession by any non-signatory which is a member of the OECD or has become a full participant in the Working Group on Bribery in International Business Transactions or any successor to its functions. For each such non-signatory, the Convention shall enter into force on the sixtieth day following the date of deposit of its instrument of accession.

Article 14

Ratification and Depositary

1. This Convention is subject to acceptance, approval or ratification by the Signatories, in accordance with their respective laws.

2. Instruments of acceptance, approval, ratification or accession shall be deposited with the Secretary-General of the OECD, who shall serve as Depositary of this Convention.

Article 15

Entry into Force

1. This Convention shall enter into force on the sixtieth day following the date upon which five of the ten countries which have the ten largest export shares set out in the annexed document, and which represent by themselves at least sixty per cent of the combined total exports of those ten countries, have deposited their instruments of acceptance, approval, or ratification. For each Signatory depositing its instrument after such entry into force, the Convention shall enter into force on the sixtieth day after deposit of its instrument.

2. If, after 31 December 1998, the Convention has not entered into force under paragraph 1 above, any Signatory which has deposited its instrument of acceptance, approval or ratification may declare in writing to the Depositary its readiness to accept entry into force of this Convention under this paragraph 2. The Convention shall enter into force for such a Signatory on the sixtieth day following the date upon which such declarations have been deposited by at least two Signatories. For each Signatory depositing its declaration after such entry into force, the Convention shall enter into force on the sixtieth day following the date of deposit.

Article 16

Amendment

Any Party may propose the amendment of this Convention. A proposed amendment shall be submitted to the Depositary which shall communicate it to the other Parties at least sixty days before convening a meeting of the Parties to consider the proposed amendment. An amendment adopted by consensus of the Parties, or by such other means as the Parties may determine by consensus, shall enter into force sixty days after the deposit of an instrument of ratification, acceptance or approval by all of the Parties, or in such other circumstances as may be specified by the Parties at the time of adoption of the amendment.

Article 17

Withdrawal

A Party may withdraw from this Convention by submitting written notification to the Depositary. Such withdrawal shall be effective one year after the date of the receipt of the notification. After withdrawal, co-operation shall continue between the Parties and the Party which has withdrawn on all requests for assistance or extradition made before the effective date of withdrawal which remain pending.

CONVENTION

sur la lutte contre la corruption d'agents public étrangers dans les transactions commerciales internationales

Préambule

Les Parties,

Considérant que la corruption est un phénomène répandu dans les transactions commerciales internationales, y compris dans le domaine des échanges et de l'investissement, qui suscite de graves préoccupations morales et politiques, affecte la bonne gestion des affaires publiques et le développement économique et fausse les conditions internationales de concurrence;

Considérant que la responsabilité de la lutte contre la corruption dans le cadre de transactions commerciales internationales incombe à tous les pays;

Vu la recommandation révisée sur la lutte contre la corruption dans les transactions commerciales internationales, adoptée par le Conseil de l'Organisation de Coopération et de Développement Économiques (OCDE) le 23 mai 1997, C(97)123/FINAL, qui, entre autres, demande que soient prises des mesures efficaces pour décourager, prévenir et combattre la corruption d'agents publics étrangers dans le cadre de transactions commerciales internationales et, en particulier, que cette corruption soit rapidement incriminée de façon efficace et coordonnée en conformité avec les éléments communs convenus qui figurent dans cette recommandation ainsi qu'avec les principes de compétence et les autres principes juridiques fondamentaux applicables dans chaque pays;

Se félicitant d'autres initiatives récentes qui font progresser l'entente et la coopération internationales en matière de lutte contre la corruption d'agents publics, notamment les actions menées par les Nations Unies, la Banque mondiale, le Fonds monétaire international, l'Organisation mondiale du commerce, l'Organisation des États américains, le Conseil de l'Europe et l'Union européenne;

Se félicitant des efforts des entreprises, des organisations patronales et syndicales ainsi que d'autres organisations non gouvernementales dans la lutte contre la corruption;

Reconnaissant le rôle des gouvernements dans la prévention des sollicitations de pots-de-vin de la part des individus et des entreprises dans les transactions commerciales internationales;

Reconnaissant que tout progrès dans ce domaine exige non seulement des efforts de chaque pays, mais aussi une coopération, une surveillance et un suivi au niveau multilatéral;

Reconnaissant qu'assurer l'équivalence entre les mesures que doivent prendre les Parties constitue un objet et un but essentiels de la convention qui exigent que la convention soit ratifiée sans dérogations affectant cette équivalence;

Sont convenus de ce qui suit:

Article 1

L'infraction de corruption d'agents publics étrangers

1. Chaque Partie prend les mesures nécessaires pour que constitue une infraction pénale en vertu de sa loi le fait intentionnel, pour toute personne, d'offrir, de promettre ou d'octroyer un avantage indu pécuniaire ou autre, directement ou par des intermédiaires, à un agent public étranger, à son profit ou au profit d'un tiers, pour que cet agent agisse ou s'abstienne d'agir dans l'exécution de fonctions officielles, en vue d'obtenir ou conserver un marché ou un autre avantage indu dans le commerce international.

2. Chaque Partie prend les mesures nécessaires pour que constitue une infraction pénale le fait de se rendre complice d'un acte de corruption d'un agent public étranger, y compris par instigation, assistance ou autorisation. La tentative et le complot en vue de corrompre un agent public étranger devront constituer une infraction pénale dans la mesure où la tentative et le complot en vue de corrompre un agent public de cette Partie constituent une telle infraction.

3. Les infractions définies aux paragraphes 1 et 2 ci-dessus sont dénommées ci-après "corruption d'un agent public étranger".

4. Aux fins de la présente convention:

a. "agent public étranger" désigne toute personne qui détient un mandat législatif, administratif ou judiciaire dans un pays étranger, qu'elle ait été nommée ou élue, toute personne exerçant une fonction publique pour un pays étranger, y compris pour une entreprise ou un organisme publics et tout fonctionnaire ou agent d'une organisation internationale publique;

b. "pays étranger" comprend tous les niveaux et subdivisions d'administration, du niveau national au niveau local;

c. "agir ou s'abstenir d'agir dans l'exécution de fonctions officielles" désigne toute utilisation qui est faite de la position officielle de l'agent public, que cette utilisation relève ou non des compétences conférées à cet agent.

Article 2

Responsabilité des personnes morales

Chaque Partie prend les mesures nécessaires, conformément à ses principes juridiques, pour établir la responsabilité des personnes morales en cas de corruption d'un agent public étranger.

Article 3

Sanctions

1. La corruption d'un agent public étranger doit être passible de sanctions pénales efficaces, proportionnées et dissuasives. L'éventail des sanctions applicables doit être comparable à celui des sanctions applicables à la corruption des agents publics de la Partie en question et doit, dans le cas des personnes physiques, inclure des peines privatives de liberté suffisantes pour permettre une entraide judiciaire efficace et l'extradition.

2. Si, dans le système juridique d'une Partie, la responsabilité pénale n'est pas applicable aux personnes morales, cette Partie fait en sorte que les personnes morales soient passibles de sanctions non pénales efficaces, proportionnées et dissuasives, y compris pécuniaires, en cas de corruption d'agents publics étrangers.

3. Chaque Partie prend les mesures nécessaires pour assurer que l'instrument et les produits de la corruption d'un agent public étranger ou des avoirs d'une valeur équivalente à celle de ces produits puissent faire l'objet d'une saisie et d'une confiscation ou que des sanctions pécuniaires d'un effet comparable soient prévues.

4. Chaque Partie envisage l'application de sanctions complémentaires civiles ou administratives à toute personne soumise à des sanctions pour corruption d'un agent public étranger.

Article 4

Compétence

1. Chaque Partie prend les mesures nécessaires pour établir sa compétence à l'égard de la corruption d'un agent public étranger lorsque l'infraction est commise en tout ou partie sur son territoire.

2. Chaque Partie ayant compétence pour poursuivre ses ressortissants à raison d'infractions commises à l'étranger prend les mesures nécessaires pour établir sa compétence à l'égard de la corruption d'un agent public étranger selon les mêmes principes.

3. Lorsque plusieurs Parties ont compétence à l'égard d'une infraction présumée visée dans la présente convention, les Parties concernées se concertent, à la demande de l'une d'entre elles, afin de décider quelle est celle qui est la mieux à même d'exercer les poursuites.

4. Chaque Partie examine si le fondement actuel de sa compétence est efficace pour lutter contre la corruption d'agents publics étrangers; si tel n'est pas le cas, elle prend les mesures correctrices appropriées.

Article 5

Mise en oeuvre

Les enquêtes et poursuites en cas de corruption d'un agent public étranger sont soumises aux règles et principes applicables de chaque Partie. Elles ne seront pas influencées par des considérations d'intérêt économique national, les effets possibles sur les relations avec un autre État ou l'identité des personnes physiques ou morales en cause.

Article 6

Prescription

Le régime de prescription de l'infraction de corruption d'un agent public étranger devra ménager un délai suffisant pour l'enquête et les poursuites relatives à cette infraction.

Article 7

Blanchiment de capitaux

Chaque Partie ayant fait en sorte que la corruption de ses agents publics soit une infraction principale aux fins de l'application de sa législation relative au blanchiment de capitaux prendra la même mesure en cas de corruption d'un agent public étranger, quel que soit le lieu où la corruption s'est produite.

Article 8

Normes comptables

1. Pour combattre efficacement la corruption d'agents publics étrangers, chaque Partie prend les mesures nécessaires, dans le cadre de ses lois et règlements concernant la tenue de livres et états comptables, la publication d'informations sur les états financiers et les normes de comptabilité et de vérification des comptes, pour interdire aux entreprises soumises à ces lois et règlements l'établissement de comptes hors livres, les opérations hors livres ou insuffisamment identifiées, l'enregistrement de dépenses inexistantes, l'enregistrement d'éléments de passif dont l'objet n'est pas correctement identifié, ainsi que l'utilisation de faux documents, dans le but de corrompre un agent public étranger ou de dissimuler cette corruption.

2. Chaque Partie prévoit des sanctions civiles, administratives ou pénales efficaces, proportionnées et dissuasives en cas de telles omissions ou falsifications dans les livres, les documents, les comptes et les états financiers de ces entreprises.

Article 9

Entraide judiciaire

1. Chaque Partie accorde, autant que le permettent ses lois et ses intruments internationaux pertinents, une entraide judiciaire prompte et efficace aux autres Parties aux fins des enquêtes et des procédures pénales engagées par une Partie pour les infractions relevant de la présente convention ainsi qu'aux fins des procédures non pénales relevant de la présente convention engagées par une Partie contre des personnes morales. La Partie requise informe la Partie requérante, sans retard, de tout élément ou document additionnels qu'il est nécessaire de présenter à l'appui de la demande d'entraide et, sur demande, des suites données à cette demande d'entraide.

2. Lorsqu'une Partie subordonne l'entraide judiciaire à une double incrimination, celle-ci est réputée exister si l'infraction pour laquelle l'entraide est demandée relève de la présente convention.

3. Une Partie ne peut refuser d'accorder l'entraide judiciaire en matière pénale dans le cadre de la présente convention en invoquant le secret bancaire.

Article 10

Extradition

1. La corruption d'un agent public étranger est réputée constituer une infraction pouvant donner lieu à extradition en vertu du droit des Parties et des conventions d'extradition entre celles-ci.

2. Lorsqu'une Partie qui subordonne l'extradition à l'existence d'une convention d'extradition reçoit une demande d'extradition de la part d'une autre Partie avec laquelle elle n'a pas de convention d'extradition, elle peut considérer la présente convention comme base juridique pour l'extradition en ce qui concerne l'infraction de corruption d'un agent public étranger.

3. Chaque Partie prend les mesures nécessaires pour faire en sorte soit de pouvoir extrader ses ressoritissants, soit de pouvoir les poursuivre à raison de l'infraction de corruption d'un agent public étranger. Une Partie qui refuse une demande d'extradition d'une personne pour corruption d'un agent public étranger au seul motif que cette personne est son ressortissant doit soumettre l'affaire à ses autorités compétentes aux fins de poursuites.

4. L'extradition pour corruption d'un agent public étranger est soumise aux conditions fixées par le droit national et par les accords et arrangements applicables pour chaque Partie. Lorsqu'une Partie subordonne l'extradition à l'existence d'une double incrimination, cette condition est réputée remplie lorsque l'infraction pour laquelle l'extradition est demandée relève de l'article 1 de la présente convention.

Article 11

Autorités responsables

Aux fins de la concertation prévue à l'article 4, paragraphe 3, de l'entraide judiciaire prévue à l'article 9 et de l'extradition prévue à l'article 10, chaque Partie notifie au Secrétaire général de l'OCDE une autorité ou des autorités, chargées de l'envoi et de la réception des demandes, qui joueront le rôle d'interlocuteur pour cette Partie pour ces matières, sans préjudice d'autres arrangements entre les Parties.

Article 12

Surveillance et suivi

Les Parties coopèrent pour mettre en oeuvre un programme de suivi systématique afin de surveiller et promouvoir la pleine application de la présente convention. Sauf décision contraire prise par consensus des Parties, cette action est menée au sein du Groupe de travail de l'OCDE sur la corruption dans le cadre de transactions commerciales internationales et conformément au mandat de ce Groupe, ou au sein et conformément au mandat de tout organe qui pourrait lui succéder dans ses fonctions, et les Parties supportent le coût du programme selon les règles applicables à cet organe.

Article 13

Signature et adhésion

1. Jusqu'à la date de son entrée en vigueur, la présente convention est ouverte à la signature des pays membres de l'OCDE et des non membres qui ont été invités à devenir participants à part entière aux activités de son Groupe de travail sur la corruption dans le cadre de transactions commerciales internationales.

2. Après son entrée en vigueur, la présente convention est ouverte à l'adhésion de tout non-signataire devenu membre de l'OCDE ou participant à part entière au Groupe de travail sur la corruption dans le cadre de transactions commerciales internationales ou à tout organe lui succédant dans ses fonctions. Pour chaque non-signataire adhérant à la convention, la convention entre en vigueur le soixantième jour suivant la date du dépôt de son instrument d'adhésion.

Article 14

Ratification et dépôt

1. La présente convention est soumise à acceptation, approbation ou ratification par les signataires conformément à leur loi.

2. Les instruments d'acceptation, d'approbation, de ratification ou d'adhésion sont déposés auprès du Secrétaire général de l'OCDE, dépositaire de la présente convention.

Article 15

Entrée en vigueur

1. La présente convention entrera en vigueur le soixantième jour suivant la date à laquelle cinq pays qui comptent parmi les dix premiers pays pour la part des exportations, selon le document annexé, et qui représentent à eux cinq au moins soixante pour cent des exportations totales cumulées de ces dix pays, auront déposé leur instrument d'acceptation, d'approbation ou de ratification. Pour chaque signataire déposant son instrument après cette entrée en vigueur, la convention entrera en vigueur le soixantième jour suivant le dépôt de cet instrument.

2. Si la convention n'est pas entrée en vigueur le 31 décembre 1998 conformément au paragraphe 1, tout signataire ayant déposé son instrument d'acceptation, d'approbation ou de ratification peut déclarer par écrit au dépositaire qu'il est prêt à accepter l'entrée en vigueur de la convention conformément au présent paragraphe 2. La convention entrera en vigueur pour ce signataire le soixantième jour suivant la date à laquelle une telle déclaration aura été faite par au moins deux signataires. Pour chaque signataire ayant déposé sa déclaration après cette entrée en vigueur, la convention entrera en vigueur le soixantième jour suivant la date du dépôt.

Article 16

Modification

Toute Partie peut proposer de modifier la présente convention. La modification proposée est soumise au dépositaire, qui la transmet aux autres Parties au moins soixante jours avant de convoquer une réunion des Parties pour l'examiner. Toute modification, adoptée par consensus des Parties ou selon toute autre modalité que les Parties fixeront par consensus, entre en vigueur soixante jours après le dépôt d'un instrument de ratification, d'acceptation ou d'approbation par toutes les Parties, ou selon toutes autres conditions qui pourront être fixées par les Parties au moment de l'adoption de la modification.

Article 17

Retrait

Une Partie peut se retirer de la présente convention par notification écrite au dépositaire. Ce retrait prend effet un an après la date de réception de la notification. Après le retrait, la coopération se poursuit entre les Parties et la Partie qui s'est retirée pour toutes les demandes d'entraide ou d'extradition présentées avant la date d'effet du retrait.

Concernant la Belgique et le Luxembourg: Les statistiques des échanges de la Belgique et du Luxembourg ne sont disponibles que de cumulées. Dans le cadre de l'article 15, paragraphe 1 de la convention, si la Belgique ou le Luxembourg dépose son instrument d'acceptation, d'approbation ou de ratification ou bien si la Belgique et le Luxembourg déposent leurs instruments d'acceptation, d'approbation ou de ratification, il sera considéré que l'un des pays qui comptent parmi les dix premiers pays pour la part des exportations a déposé son instrument et les exportations cumulées des deux pays seront additionnées en vue d'atteindre, comme requis pour l'entrée en vigueur de la convention, les 60 pour cent des exportations totales cumulées de ces dix pays.

Po zapoznaniu się z powyższą konwencją, w imieniu Rzeczypospolitej Polskiej oświadczam, że:

– została ona uznana za słuszną, zarówno w całości, jak i każde z postanowień w niej zawartych,

– jest ona przyjęta, ratyfikowana i potwierdzona,

– będzie ona niezmiennie zachowywana.

Na dowód czego wydany został akt niniejszy, opatrzony pieczęcią Rzeczypospolitej Polskiej.
